TERMS AND CONDITIONS IN FRANCE
Prices:
MURE & PEYROT reserves the right to modify its prices at any time, particularly in the event of an increase in the cost of raw materials, in which case the customer will be informed by any means. The selling prices of our products are those in force at the date of validation of the order by MURE & PEYROT, as they appear in the price list attached to the order confirmation e-mail sent to the customer confirming the invoice price, on the basis of the price list in force at the time of validation of the order.
Our prices are exclusive of VAT in Euros, net without discount, postage and packaging not included. Our supplies are invoiced at the prices in force at the time of delivery, carriage and packaging paid in mainland France from 500 Euros net excluding VAT.
We are unable to accept orders of less than 250 Euros net of VAT due to invoicing costs of 50 Euros net of VAT.
For all orders between 250 Euros and 500 Euros net of VAT, a flat rate of 25 Euros net of VAT for postage and packing will be invoiced.
Acceptance :
Orders transmitted by our agents or representatives, or sent directly by our customers, are only binding after we issue our acceptance. Under no circumstances may our customers’ terms and conditions be set against our terms and conditions of sale.
PLACING AN ORDER IMPLIES UNCONDITIONAL ACCEPTANCE OF OUR TERMS AND CONDITIONS. We do not accept the return of goods unless we have stipulated otherwise in writing.
The General Terms and Conditions of Sale (GTCS) are binding on the customer, who acknowledges having read them and expressly accepted them without reservation before validating his order. Any placing of an order implies acceptance of the GCS. Together with the order form, the order confirmation email (if applicable) and the invoices, the GTS constitute the contractual documents binding on the Customer and together they form the contract to the exclusion of any other, in particular the Customer’s own general terms and conditions of sale and/or purchase and/or its own order forms. In the event of any contradiction between the GCS and the order form, the provisions of the order form shall prevail. Any conditions derogating from the present conditions are only binding on MURE & PEYROT if they have been accepted in writing. The GCS applicable to the client are those in force at the date of the order.
Delivery times :
Deadlines are given for information only and are not binding. If they are exceeded, there will be no compensation or penalty for late delivery.
Transport :
All our goods travel at the recipient’s risk, even those sent carriage paid. It is the responsibility of the consignee to make all reservations and, if necessary, to take recourse against the carrier.
Payment :
Our goods are payable, after acceptance, within 30 DAYS FROM THE END OF THE MONTH of the invoice date or on departure of the goods, net without discount. A charge of 0.5% per day will be applied for any postponement of the due date. ALL ORDERS IMPLY ACCEPTANCE OF OUR TERMS AND CONDITIONS. By express agreement, and unless an extension is requested in good time and granted by us, failure to pay for our supplies on the due date will result in :
1/ immediate payment of all sums remaining due, regardless of the method of payment (by bill of exchange or otherwise).
2/ the payment of penalties equal to three times the legal interest rate. Late payment penalties are payable without the need for a reminder. In addition, a fixed indemnity for collection costs of 40 Euros will be charged in addition to the late payment penalties.
Jurisdiction :
No claim will be accepted after one month from the date of receipt of the goods. In the event of a dispute, the Commercial Court of Bordeaux shall have sole jurisdiction, regardless of any reservations made on this subject by the customer. Our bills of exchange or acceptances of payment do not derogate from this jurisdiction clause.
Retention of title :
The company retains ownership of the goods delivered until full payment of the price and any incidental costs. Nevertheless, the purchaser assumes full and complete responsibility for the goods as soon as they are delivered.
Liability :
In the event of a dispute, liability is limited to the replacement of the goods without any compensation. Mure & Peyrot reserves the right to improve the products in its range at any time.
